Terms of Service

1. Services Provided

ItsJen.ai provides fractional Chief Innovation Officer and Custom Innovation Program (CIP) development services. Our deliverables, timelines, and specific objectives are defined individually within your signed Statement of Work (SOW) or Retainer Agreement.

2. Client Portal Access

Active clients are granted access to the ItsJen.ai Client Portal to view project statuses, manage deliverables via Google Workspace integrations, and review billing information.

• You are responsible for maintaining the confidentiality of your authentication credentials (secured via Neon Auth).
• Portal access is tied to an active SOW/Retainer and may be suspended if accounts fall into arrears.

3. Billing and Payment

Payments for retainer and sprint-based services are processed securely through our billing partner, Chargebee. Invoices are generated according to the schedule outlined in your SOW.

We focus on delivering ROI, not holding you hostage. Retainer agreements may be modified or terminated with 30 days written notice unless otherwise specified in your distinct SOW.

4. Intellectual Property & Confidentiality

We respect your IP. Any code, strategies, or proprietary workflows developed specifically for your business during our engagement belong to you upon final payment. ItsJen.ai retains ownership of underlying generic frameworks, pre-existing tools, and methodologies used to deliver our services.

Both parties agree to maintain strict confidentiality regarding proprietary business information shared during the engagement.

5. Limitation of Liability

While we engineer robust and secure solutions, ItsJen.ai shall not be held liable for indirect, incidental, or consequential damages arising from the implementation of our strategic advice or software integrations, except where mandated by law. Our maximum liability is limited to the fees paid for the specific service sprint in question.

6. Modifications to Terms

ItsJen.ai reserves the right to update these terms. We will notify active clients of substantial changes that impact existing service deployments or portal access.
